At the end of the money laundering cycle it will appear to have come from a legitimate source.\u00a0<\/span><\/p>\n<h2>UBO legislation: what are the regulatory requirements?<\/h2>\n<p>In the UK, ultimate beneficial ownership regulations fall under the Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017 (as amended). They are overseen by Companies House, the Financial Conduct Authority (FCA), HM Revenue &amp; Customs (HMRC), and the National Crime Agency (NCA). These rules apply to all UK-registered companies, certain overseas entities doing business in the UK, and relevant sectors such as financial institutions and law firms.<\/p>\n<p>There are four main compliance requirements for UBO compliance in the UK:<\/p>\n<ol>\n<li>Disclosure to the PSC register at Companies House, providing accurate beneficial ownership information.<\/li>\n<li>Identity verification of the UBO, including proof of address, share certificates, or other documents proving legal ownership and ownership stake.<\/li>\n<li>Updating PSC records within 14 days of any change in control.<\/li>\n<li>Suspicious Activity Reports (SARs) to the NCA for any suspicious transactions, including links to shell companies or offshore entities.<\/li>\n<\/ol>\n<p>More often than not, the <strong>responsibility of compliance<\/strong> comes down to your finance department. These failings allowed suspicious transactions worth over \u00a3298 million to pass through more than 560,000 business customer accounts.<\/p>\n<p>In 2019, the <a href=\"https:\/\/www.forbes.com\/sites\/alisondurkee\/2022\/10\/24\/doj-charges-alleged-chinese-intelligence-officers-with-trying-to-interfere-with-huawei-prosecution\/?sh=2e6445e667a5\">DOJ allegedly indicted the enormous Chinese corporation, Huawei<\/a>, for failing to disclose its ownership of another company. The secondary business was based in Iran, known as Skycom, and its business activities were unknown. This means that <strong>US partners of Huawei could have unknowingly contributed to any number of unverified activities<\/strong> using potentially laundered money.<\/p>\n<p>Huawei employees reportedly destroyed evidence and falsified documents to their US partners to conceal the <strong>ultimate beneficial owner<\/strong> of Skycom.<\/p>\n<p>It\u2019s clear that <strong>non-compliance can cost companies millions.<\/strong> But do you know how to spot a hidden ultimate beneficial owner and avoid the same fate for your own organization?<\/p>\n<h2>What are the most common ways that companies hide their UBOs?<\/h2>\n<p>There are a few different ways that companies (or individuals) can try to <strong>cloud the transparency of their UBOs.<\/strong><\/p>\n<p><strong>Shell companies are likely the most popular way<\/strong> for ultimate beneficial owners to conceal their identities. In fact, one of the most prominent examples of shell company exposure is the Pandora Papers. In this investigation, over <a href=\"https:\/\/offshoreleaks.icij.org\/\">810,000 shell companies<\/a> were uncovered. These <strong>offshore accounts held at least <a href=\"https:\/\/internationalsales.lexisnexis.com\/__data\/assets\/pdf_file\/0003\/377634\/LxNx_BeneficialOwnership_0516.pdf\">8% of global wealth<\/a><\/strong> (more than <a href=\"https:\/\/www.icij.org\/investigations\/pandora-papers\/global-investigation-tax-havens-offshore\/\">\u00a38.45 trillion in funds<\/a>) that have potentially been tied to tax evasion and other crimes.<\/p>\n<p>However, it is also important to note that in some cases, there are totally legitimate reasons for the creation of shell companies.<\/p>\n<p>Another way that criminals can hide their interest in a firm is through <strong>the appointment of nominal directors or shareholders<\/strong>. Think of your own company board. Are there directors who have been appointed just to make up the numbers, or simply because they are connected to one of the current other partners?<\/p>\n<p>Nominal directors or shareholders don\u2019t get involved with the day-to-day running of the business. So while companies are legally compliant, <strong>nominal directors are used to \u2018front\u2019 the real beneficial owners<\/strong>. This means that <strong>the UBOs can access the profits<\/strong> without being listed on any of the paperwork or taking legal responsibility for the company.<\/p>\n<p>Finally, <strong>filing false paperwork<\/strong> is also a tell-tale sign of hidden beneficial owners (and violation of regulatory requirements).<\/p>\n<p>One of the most famous examples of this is the <a href=\"https:\/\/www.justice.gov\/opa\/pr\/nine-fifa-officials-and-five-corporate-executives-indicted-racketeering-conspiracy-and\">Fifa scandal<\/a>. In 2014, nine officials at soccer\u2019s international governing body were charged with Racketeering Conspiracy and Corruption. A number of payments were taken without being recorded or reported on official documentation, leading to <strong>bribery and money laundering.<\/strong><\/p>\n<h2>How can your company verify and identify the Ultimate Beneficial Owner?<\/h2>\n<p>It all starts with<strong> choosing the right partners<\/strong>.
